Business Law and Intellectual Property

Since the very beginning, we have worked extensively with business people.  We have developed a proclivity for business law, where pragmatism and entrepreneurship are guiding principles.  We advance our clients’ files all the while protecting their interests.

We are involved in the sale and acquisition of businesses for both vendors and buyers.  We work in business financing – both traditional and venture capital financing – for both lenders and borrowers.

We counsel our clients with respect to corporate and tax reorganizations, as well as the establishment of various types of trusts.

We draft, in our commercial law practice, commercial contracts of all kinds, including distribution contracts, operation contracts, manufacturing contracts.

Our Intellectual Property team overviews the protection of your rights and your intangible assets and can handle any litigation regarding intellectual property matters.

We administrate an important trade marks portfolio and we preserve your rights on the Internet, such as domain names.

Finally, we counsel and represent real estate promoters, landowners, contractors and subcontractors, as well as major tenants throughout the evolution of their projects.  We also draft commercial leasing agreements as well as any other applicable contract or document.

Most directors of legal entities are not aware of the actual extent of their liability, all the more since such liability may arise from many sources. In fact, directors are bound by certain legal obligations, such as the obligation to act in a prudent and diligent manner in the best interest of the company/corporation.
If you are thinking of acquiring a business, it is important to keep in mind that such an acquisition will include both the good and the bad of the business. By carrying out a due diligence, you will be able to appreciate the transaction as a whole, be able to take the appropriate decision and avoid any unpleasant surprises.
Is your Distribution Agreement full proof? Does it answer your needs? Is it in line with your expectations? A lot of agreements can be found on the Web where only the names have been changed. Is this your case?
