Most directors of legal entities are not aware of the actual extent of their liability, all the more since such liability may arise from many sources. In fact, directors are bound by certain legal obligations, such as the obligation to act in a prudent and diligent manner in the best interest of the company/corporation.
If you are thinking of acquiring a business, it is important to keep in mind that such an acquisition will include both the good and the bad of the business. By carrying out a due diligence, you will be able to appreciate the transaction as a whole, be able to take the appropriate decision and avoid any unpleasant surprises.
Is your Distribution Agreement full proof? Does it answer your needs? Is it in line with your expectations? A lot of agreements can be found on the Web where only the names have been changed. Is this your case?
